Directors and Officers Liability Insurance
Civil liability for corporate officers protects you from risks related to governance errors, conflicts of interest, violations of laws and regulations...
By the way
The leaders (managers of SARL; general managers, administrators or members of the board of directors of SA; presidents of SAS) are individually or jointly responsible towards the company or third parties:
- Violations of the applicable legislative or regulatory provisions of the company.
- From the violation of the company's bylaws
- Mistakes made in their management.
It is strongly recommended for companies wishing to protect their executives from these risks to take out D&O insurance.
- Regarding the leaders, These are mainly claims involving their individual or joint and several liability and attributable to their actual or alleged professional misconduct.
- Regarding the company These are claims arising from professional misconduct committed by one of the company's directors. This misconduct must be deemed not separable* from the executive's duties (*separable misconduct is intentional misconduct that is particularly serious and incompatible with the normal performance of corporate duties).
- The subscribing company is also covered.
- The financial consequences that the manager may incur under his professional liability.
- The costs of civil, criminal, and administrative defense
- The consulting fees related to the opening of a judicial liquidation or related to the tax audit of the legal directors.
- Damage to reputation and costs of image rebuilding or psychological support
- The fees for assistance related to a custody.
- The crisis management fees...
Some insurers also offer a capital for disability or incapacity for the executive while on business trips, as well as a fund to prevent the company's difficulties. The beneficiaries of the executives and their spouses, as well as retired executives, can also be protected.
