Transactional Diligence

Due diligence advice for transaction parties and lenders

Strategic insurance solutions

Howden M&A's multi-disciplinary Transactional Diligence team has been involved in transactions from every angle.

Our Transactional Diligence practice combines two distinct teams:

  • Insurance Due Diligence – using due diligence exercises to help M&A and Real Estate investor clients make informed buying decisions
  • Lenders’ Insurance Advisory – helping lenders navigate limited and non-recourse financings worldwide

Both teams operate independently of Howden’s insurance broking teams. This allows us to manage potential conflicts of interest and offer truly impartial advice to clients and lenders.

Howden M&A combines innovation with hard-earned experience. That’s how we extract the most value for clients from transactions.

Insurance Due Diligence

Our Insurance Due Diligence (IDD) team advise buyers, sellers and M&A investors during a transaction, helping to identify any risks and insurance issues at the target before either acquiring or divesting a company. Our team will review all relevant documentation at the target level and issue a report with feedback.

A critical aspect of our work involves assessing insurance costs. Inaccuracies or insufficient coverage can negatively impact a target's valuation. Therefore, it’s essential for both sellers and buyers to gain a clear understanding of the target’s insurance program early in the transaction process.

Taking a structured, collaborative approach, we:

  • Pinpoint under-insured or uninsured risks
  • Validate a target’s purchase price, pricing in any outstanding insurance issues
  • Model and project future insurance costs
  • Roadmap key insurance actions
  • Mitigate against unexpected post-completion losses
  • Optimise and integrate insurance protection within the SPA
